Ondas Networks Completes Acquisition of DZYNE Technologies for $875.8 Million
The Ondas DZYNE acquisition combines long-endurance ISR, counter-UAS, and autonomous effects under a new operating division for U.S. defense customers.
Ondas Inc. has announced the acquisition of DZYNE Technologies, LLC in a cash and stock transaction valued at $875.8 million. This acquisition aims to establish a multi-domain autonomous defense platform that encompasses intelligence, surveillance, and reconnaissance (ISR), counter-UAS, autonomous effects, aerial security, precision strike, autonomous logistics, and AI-enabled mission orchestration.
Ondas Sentinel: a new U.S. defense division
Ondas has formed a new operating division called Ondas Sentinel to consolidate its U.S. autonomous defense portfolio. This division will initially integrate World View and DZYNE, focusing on persistent ISR, counter-UAS, autonomous effects, and mission intelligence.
Ryan Hartman, CEO of World View, will lead Ondas Sentinel as its CEO, while Matt McCue, co-founder and CEO of DZYNE, will take on the role of Chief Technology Officer for the new division.
Hartman stated that Ondas Sentinel is designed to be a scalable U.S. defense platform that combines World View’s persistent sensing capabilities with DZYNE’s autonomous systems and counter-UAS technologies, enhancing operators’ ability to “see more, decide faster, and act with confidence.”
Multi-domain ISR and counter-UAS portfolio
DZYNE contributes three strategic franchises to the combined platform. Its ULTRA is a long-endurance autonomous aircraft with extensive operational flight hours in border security, maritime awareness, and communications relay. Ondas notes that ULTRA complements World View’s stratospheric Stratollites and the tactical-edge Optimus autonomous drone platform.
Additionally, DZYNE’s IonStrike, a kinetic autonomous interceptor designed to counter one-way attack drones, will enhance Ondas’ existing counter-UAS capabilities, which include the Iron Drone Raider and Sentrycs’ Cyber-over-RF technology. The integrated portfolio aims to provide comprehensive detection, identification, mitigation, and defeat capabilities across military, homeland security, and civil markets.
DZYNE also introduces the Blitz Group 1 UAS, which has a range of 150 km (93 mi), and the Grasshopper autonomous cargo glider, capable of delivering up to 500 pounds of supplies in contested environments. These platforms align with the U.S. Department of War‘s focus on affordable mass and autonomous effects. Furthermore, Ondas is advancing SkyWeaver, an AI-enabled mission operating system developed in collaboration with Palantir.
Financial profile and outlook
Ondas projects that DZYNE will generate $191 million in revenue for 2026 and exceed $300 million in 2027, with a revenue compound annual growth rate (CAGR) of over 80% from 2025 through 2028. DZYNE is expected to achieve EBITDA positivity in 2026, with margins targeted in the mid-teens for 2027 and the mid-20% range by 2028.
Ondas is now aiming for at least $525 million in revenue for 2026, an increase from the previous target of $390 million. This updated outlook includes contributions from DZYNE and the Omnisys acquisition finalized on May 21, 2026.
Under the terms of the acquisition, DZYNE shareholders received $200 million in cash and approximately 85 million Ondas shares valued at around $675 million. Shareholders, led by Highlander Partners, will own approximately 13.8% of Ondas’ outstanding shares, with 45 million shares subject to a six-month lock-up period.
